Terms and Conditions for Audio Production Services
between Andrea Serk (we, us, our) and the client (they, them, their).

By commissioning the work, the client acknowledges they have read, understood, and agree to all the terms and conditions underlined in this Agreement.

Effective date: 19th June 2025



Copyright & Royalties‍

We will not claim ownership of the rights of the masters.‍

We reserve the right to request a separate agreement in case our artistic contribution generates standalone intellectual property.



Prices

Both parties will agree on a flat rate before project start. All prices will be fixed in writing, such as in documents provided to the client, or via email or chat.



Payment

Currency: EUR.

All payment details will be indicated on the invoice.

Late payments are subject to a 25 € fee and 0,9% interest every 30 days after the due date, as stated on the invoice.



Required Materials & Quality Standards‍

To ensure best results, we offer free consultation to prepare all the required material, such as project files, client's notes and reference tracks.

The quality of the final product is heavily dependent on the quality of source material and quality of the material provided.

Delays or issues caused by insufficient, incorrect or poor quality material will not be our responsibility.

Reference tracks help us achieve the desired outcome more efficiently, and set an objective benchmark for comparison. This ensures alignment on expectations and provides a clear standard for evaluating the outcome.‍‍‍



Project Timeline & Deadlines

We will schedule the project to start on the earliest day available, once the files are approved and payment is received.

Revisions will be scheduled on the earliest day available.

We strive to meet the timelines indicated, however, delays of a few days may occur due to unforeseen circumstances. In such cases, the client will be informed promptly.



Extras, Additions & Replacements‍

The client can add or replace musical parts during the process prior to consulting us.

If any new file requires substantial settings adjustments or intensive additional work (including but not limited to pitch correction, time alignment and audio restoration), client will be charge extra.

We are not responsible for any delays or issues caused by the introduction of additional files‍‍‍ that require extra work.



Deliverables

Standard delivery formats:
- Wav 48 kHz / 24-bit
- Mp3 320 kbps

Project session will not be delivered.

It is highly to recommended to request all deliverables you'll need (e.g. alternative mixes, processed stems, etc.) before project completion. Future access to projects cannot be guaranteed for all time (see Data Management & Privacy Policy).



Project Completion

Project is considered completed once all the revisions are used, or all the client requests have been met (as specified on client's notes).

We reserve the right to terminate this Agreement in the event of claims, requests or expectations that significantly deviate from the original project scope (see: End Of Agreement).‍‍‍



Credits

Crediting our work is not mandatory but appreciated. However, we reserve the right to refuse crediting at our discretion if the final product does not meet our quality standards or aligns with our professional reputation.


Refunds

Refunds are not offered as our procedure ensures client's satisfaction through accurate project evaluation and revisions.

If client can clearly demonstrate our failure to meet the agreed expectations or deliverables, they will be entitled to a 50% refund. Requests must be submitted in writing within 7 days of project completion and it is subject to our discretion.



Data Management & Privacy Policy

We will not be held responsible if a session can't be recovered due to missing plugins, corrupted or lost files, although we will take all the measures to prevent this from happening.

No AI-driven or cloud-based tools will be used in our process.

All the material will be kept strictly confidential, except as required by law.



Limitation Of Responsibility

The client assumes full responsibility for the use of the delivered product.

We shall not be held liable for any direct, indirect, or consequential damages of any kind arising from the use of final product.‍‍‍



End Of Agreement

Both parties will attempt to resolve any issue in good-faith negotiations.

In the event of claims, requests or additional files that introduce entirely new project goals, we reserve the right to terminate this Agreement. Client will be held responsible for clearing the total fee agreed upon. This shall be regarded as a direct consequence of the client’s actions or requests and not as discretionary decision on our part.

Neither party will be held responsible for failure to fulfill the obligations under this Agreement due to events beyond their control, including but not limited to hardware failure, natural disasters and government restrictions.‍‍



Changes To Agreement

Changes agreed in writing, such as via email or chat, will entirely override this Agreement (or parts of it) even if not formally updated.

This Agreement can be updated anytime and changes will be published on this website. However, updates shall not apply to work already in progress.



Disputes‍

In the event of disputes, both parties will attempt to resolve the issue in good-faith negotiations. If no resolution is reached, either party may pursue legal action. This will be governed by the Italian law under jurisdiction of Province of Perugia.
