Terms and Conditions for Audio Production Services
between Andrea Serk (we, us, our) and the client (they, them, their).
By commissioning the service the client acknowledges they have read, understood, and agree to all the terms and conditions underlined in this Agreement.

Copyright & Royalties
We will not claim ownership of the rights of the masters.
We will not claim ownership of the rights of our artistic suggestions or additions to the project.
However, we reserve the right to request a separate agreement in cases where our contribution significantly exceeded the original scope creating standalone intellectual property.
Prices
Both parties will agree on a flat rate for the entire project. Rates will be fixed in writing, such as the "Services & Rates" document provided to the client, or via email or chat.
Additional time-based tasks are charged 25 € per 30 minutes. Time will be calculated in increments of 30 minutes (i.e. 40 minutes will count as 1 hour). Time spent on project will be tracked using “Clockify” and reports will be provided along with the invoice.
Payment
We require a non-refundable 50% deposit. The remaining balance will be invoiced once the project is completed.
We accept payments via bank transfer. Details for payment will be indicated on the invoice.
Any additional fee or currency conversion fee are considered the client's responsibility.
Clients must add local VAT (23%). Businesses applicable for reverse charge must provide us with their VAT number.
Projects can be paid in installments without interest. The number of installments, payment amounts and deadlines will be mutually agreed upon in writing, such as via email or chat, before the start of the project.
Payments must be made by the deadlines indicated on each invoice. Late payments are subject to a 25 € fee and 0,9% interest every 30 days after the due date, as stated on the invoice.
Required Materials & Quality Standards
To ensure the best results, we offer free consultation to prepare all the required materials outlined in the "Services & Rates" document provided to the client.
The quality of the final product heavily depends on the quality of the materials provided.
Delays or issues caused by insufficient, incorrect or poor quality materials will not be our responsibility.
Reference tracks help us achieve the desired outcome more efficiently, and set an objective benchmark for comparison. This ensures alignment on expectations and provides a clear standard for evaluating the outcome.
Project Timeline & Deadlines
We will schedule the project to start on the earliest day available, once the deposit is received and the files are approved.
Revisions can take up to 1-2 days and will be scheduled on the earliest day available.
We strive to meet the timelines indicated. However, delays of a few days may occur due to unforeseen circumstances. In such cases, the client will be informed promptly.
Hard deadlines must be agreed upon in writing, such as via email or chat, before the project start. If we fail to meet the agreed deadline, the client is only required to pay 50% of the total fee.
Revisions
The are two (2) rounds of revision included for any service.
Project can also be completed via live-streaming (up to 1 hour free) to get real-time feedback from the client when making the final adjustments.
Additional revisions and live sessions will be charged hourly (see: Prices).
Extras, Additions & Replacements
Intensive editing, tuning, time-alignment and/or audio restoration tasks are not included in the fee, therefore all the tracks should be ready for mixing and/or mastering. As an alternative, we can take care of such additional tasks based on hourly rate (see: Prices).
The client can add or replace musical parts during the process freely, prior to consulting us. However, if any new file requires intensive additional work, including but not limited to pitch correction, time alignment and restoration, we will charge the time spent working on the new material (see: Prices).
We are not responsible for any delays or issues caused by the introduction of additional files.
Delivery & Alternative Versions
Standard delivery format: stereo WAV 48 kHz / 24-bit.
Other file formats will be provided for free, if requested.
The instrumental version (without any vocals) is included for every service.
Stereo Mastering service includes all mix versions.
For other services, alternative versions (TV mix, clean, vocals-only, etc.) will be created at 20% of service price (each). Mastered stems will be created at 20% of service price.
At project completion the client will receive a download link to the required deliverables.
It is highly to recommended to request all deliverables before project completion. Future access to completed projects is not assured.
Project Completion
Project is considered completed once all the included revisions are used, or all the client requests have been met (as specified on the required client's notes).
We reserve the right to terminate this Agreement in the event of claims, requests or expectations that significantly deviate from the original project scope (see: End Of Agreement).
Credits
Credits are not mandatory but appreciated. However, we reserve the right to refuse crediting at our discretion if the final product does not meet our quality standards or aligns with our professional reputation.
If credits are given, they are typically listed on social media, streaming platforms, or on the back of physical copies. Please, use the following format where possible:

Refunds
Refunds are not offered as our procedure ensures satisfaction through multiple revisions (see: Revisions).
If the client can demonstrate our failure to meet the agreed expectations or deliverables, client will not be required to pay the rest of the fee. Requests for this must be submitted in writing within 7 days of project completion and it is subject to our discretion.
Data Management & Privacy Policy
All files and project folders will be stored for backup purposes, and completed project folders will be archived to allow the client to access their material for future use.
We will not be held responsible if a session can't be opened anymore due to missing plugins, corrupted or lost files, although we will prevent this from happening.
All the material will be kept strictly confidential, except as required by law.
After the official release, we may showcase completed work in our portfolio or website unless the client opts out with written notice.
Limitation Of Responsibility
The client assumes full responsibility for the use of the delivered product. We shall not be held liable for any direct, indirect, or consequential damages of any kind arising from the use of final product.
End Of Agreement
If client becomes unresponsive for more than 15 days after the last version is delivered, or chooses to end this Agreement before project completion for any reasons, they are responsible for clearing the total fee agreed upon.
In the event of claims, requests or additional files that introduce entirely new project goals, we reserve the right to terminate this Agreement and the client will be responsible for clearing the total fee agreed upon. This shall be regarded as a direct consequence of the client’s actions or requests and not as discretionary decision on our part.
We reserve the right to terminate this Agreement at our discretion for reasons unrelated to the client’s actions or requests. In that case, no payment will be due and the deposit will be refunded.
Neither party will be held responsible for failure to fulfill the obligations under this Agreement due to events beyond their control, including but not limited to hardware failure, natural disasters and government restrictions.
Changes To Agreement
Changes agreed in writing, such as via email or chat, will partially override of this Agreement even if not formally updated.
This Agreement can be updated anytime and changes will be published on www.andreaserk.com/terms. However, updates shall not apply to work already in progress.
Disputes
In the event of disputes, both parties will attempt to resolve the issue in good-faith negotiations.
If no resolution is reached, either party may pursue legal action governed by Italian law under the jurisdiction of Province of Perugia.
